These Terms of Service ("Terms") govern your use of NeuBytes services. By engaging our services, you agree to these terms.

1. Services Offered

NEUBYTES provides professional services including, but not limited to, custom software development, web development, mobile application development, AI/ML solutions, post-production, design, and related technology and consulting services.
The specific scope, deliverables, timelines, and pricing for each engagement shall be defined in a separate Statement of Work (SOW), proposal, or written agreement.
NEUBYTES reserves the right to subcontract or delegate portions of work to qualified professionals or vendors while remaining responsible for overall quality and delivery.

Projects commence only after mutual agreement on scope, timeline, and pricing.
A signed proposal / SOW and the initial payment milestone are required before work begins.
Any change in scope may result in revised timelines and additional charges.
Regular communication and milestone reviews will be conducted throughout the project lifecycle.

Payments are typically milestone-based, commonly structured as:
30% upfront, 40% mid-project, and 30% upon completion, unless otherwise agreed in writing.
Invoices are payable within 15 days from the date of issuance.
Late payments may result in project suspension and may attract applicable interest or penalties.
All prices are quoted in Indian Rupees (INR) unless specified otherwise.
GST and other applicable taxes shall be charged as per Indian law.

Upon full and final payment, the client shall receive ownership of custom-developed code and designs, as specified in the SOW.
Third-party libraries, frameworks, and tools remain governed by their respective licenses.
Any pre-existing tools, templates, frameworks, or proprietary assets developed by NEUBYTES shall remain the exclusive intellectual property of NEUBYTES.
NEUBYTES may display completed projects in its portfolio or marketing materials, unless explicitly restricted by a written NDA.

NEUBYTES maintains strict confidentiality of all client information and project details.
Non-Disclosure Agreements (NDAs) may be executed upon request.
Client data is stored securely and is not disclosed to unauthorized third parties.
Confidentiality obligations shall survive termination of the business relationship.

NEUBYTES provides a 30-day bug-fix warranty after project delivery at no additional cost.
This warranty covers defects arising solely from NEUBYTES' code and excludes:
• Third-party services
• Client-initiated changes or misuse
Ongoing support and maintenance services are available under separate agreements.
NEUBYTES does not guarantee specific business outcomes or results from delivered solutions.

NEUBYTES' total liability shall be limited to the total fees paid for the relevant project.
NEUBYTES shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or data.
Delivery timelines may be affected by force majeure events such as natural disasters, pandemics, or government actions.
Clients are responsible for their own data backups and business continuity.

Either party may terminate a project with 14 days' written notice.
The client shall pay for all work completed up to the termination date.
Advance payments are non-refundable once work has commenced.
Deliverables completed up to termination shall be transferred upon settlement of dues.

Parties shall first attempt to resolve disputes through good-faith negotiation.
If unresolved, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.
Jurisdiction for legal proceedings shall be courts in India.
These Terms are governed by the laws of India.
